Terms of service
Effective July 19, 2026
These terms are an agreement between Kogi (“Kogi”, “we”, “us”) and you — the person or business creating an account at kogi.chat or using the service. By creating an account or using Kogi, you agree to them. If you're accepting on behalf of a company, you confirm you have the authority to bind it, and “you” means that company. You must be at least 18 to use Kogi.
Visitors who chat with an agent on a customer's website aren't party to these terms — their use of that website is governed by that site's own terms, and our privacy policy describes how their conversation data is handled.
1. The service
Kogi lets you build AI concierge agents and embed them on your own web pages. Agents answer visitors from the content and offer catalogs you configure, can act on your pages (scroll, highlight, click, fill non-payment fields), capture consented leads, and report conversations, conversions, and attributed revenue in your dashboard.
2. Accounts and teams
- Keep your credentials confidential; you're responsible for activity under your account.
- Workspace owners and admins control who joins their workspace and with what role. You're responsible for the people you invite.
- Tell us promptly at security@kogi.chat if you suspect unauthorized access.
3. Your content and configuration
- You own the content you put into Kogi — instructions, knowledge, offer catalogs, brand voice, disclosure text. You grant us the license needed to host and process it to provide the service, and nothing more.
- You may only install the widget on sites you own or are authorized to modify, and only feed it content you have the rights to use.
- Accuracy is yours. The agent answers from the catalog and knowledge you approve. Keeping prices, inclusions, eligibility rules, and validity dates current is your responsibility.
- Regulated offers are your compliance burden. If your offers are subject to marketing, consumer-protection, or industry-specific rules (for example, vacation-ownership promotions), you are responsible for the legality of the offer and for supplying any required disclosure text. Kogi delivers and logs the disclosures you configure; it does not author them, and nothing in the product is legal advice.
4. AI-generated output
- Agent responses are generated by AI. Grounding features (catalog-only answers, approved answers, banned phrases) reduce errors but cannot guarantee every response is accurate or complete.
- You're responsible for reviewing your agent's configuration and testing it (including with the built-in test tools) before and after changes go live.
- Agent output is not professional, legal, medical, or financial advice.
5. Acceptable use
Don't use Kogi to:
- break the law, or market offers you're not legally permitted to sell;
- deceive visitors — including presenting the agent's statements as claims you know to be false;
- collect payment card data, government identifiers, health data, or other sensitive categories through conversation;
- send spam or messages without any required consent;
- probe, overload, or interfere with the service, or circumvent rate limits and origin controls;
- infringe anyone's intellectual property or privacy rights.
We may suspend or terminate accounts that violate this section.
6. Your visitors' data
For conversations on your site, you are the data controller and we process on your behalf as described in the privacy policy. You're responsible for providing your visitors any legally required notices and for having a lawful basis to use the widget, lead capture, and conversion tracking on your pages. A data processing addendum is available on request at legal@kogi.chat.
7. Fees
Kogi is free to start. If you use paid features or plans, the fees, billing terms, and limits presented at purchase apply; we'll give notice before price changes affect you. Fees are exclusive of taxes, which are your responsibility. Usage limits (such as daily token caps you set) may pause an agent when reached.
8. Intellectual property
We own the service — the software, design, and everything that isn't your content. These terms grant you a limited, non-exclusive, non-transferable right to use it while your account is in good standing. If you send us feedback, we may use it without obligation to you.
9. Third-party services
Kogi depends on third-party providers — including Anthropic for AI responses and Resend for email delivery. We choose them carefully, but we don't control them, and their availability can affect the service.
10. Disclaimer of warranties
The service is provided “as is” and “as available,” without warranties of any kind, express or implied — including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that agent responses will be accurate.
11. Limitation of liability
To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or revenue. Kogi's total liability under these terms is capped at the greater of $100 or the fees you paid us in the 12 months before the claim. Some jurisdictions don't allow certain limitations, so parts of this section may not apply to you.
12. Indemnification
You'll defend and indemnify Kogi against third-party claims arising from your content, your offers, your site, or your breach of these terms — including claims that your marketing or disclosures violated applicable law.
13. Termination
- You can stop using Kogi and delete your account at any time.
- We can suspend or terminate for material breach; where practical, we'll notify you and give you a chance to fix it first.
- After termination we'll delete your workspace data within a reasonable period, except what we must retain by law. Export your leads and transcripts before closing your account.
14. Changes to these terms
We may update these terms as the product evolves. For material changes we'll give account holders notice by email or in the dashboard before they take effect; continuing to use Kogi after that is acceptance.
15. Governing law
These terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-laws rules, and disputes will be resolved in the state or federal courts located in Delaware, which both parties consent to.
